License Grant

NeuroOrbit AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Quiet Translator solely for your personal or internal business purposes, subject to these Terms of Use.

Subscriptions, Auto-Renewal & Payment

Quiet Translator offers auto-renewable subscriptions. The following terms apply to all paid plans:

• Plans and pricing. Subscription options, prices, billing period, and the included monthly listening allowance are shown in the app before purchase. Prices are displayed in your local currency by the App Store or Google Play.
• Free allowance. New accounts may receive a one-time free listening allowance. It is granted once per account and does not renew.
• Billing. Payment is charged to your Apple ID or Google Play account at confirmation of purchase.
• Auto-renewal. Your subscription renews automatically for the same period unless you turn off auto-renewal at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.
• Managing and canceling. Manage or cancel your subscription in your Apple ID or Google Play account settings. Canceling stops future renewals; you keep access until the end of the current paid period.
• Fair-use limits. Each plan includes a monthly listening allowance measured in minutes. When the allowance is used up, listening pauses until the next billing period or until you upgrade.
• Refunds. Purchases are handled by Apple and Google. Refund requests are subject to their policies and are managed through them.

Prohibited Activities

Violation of any of the following may result in suspension or termination of your account.

• (a) Reverse-engineer, decompile, or disassemble the application
• (b) Attempt to extract API keys, authentication tokens, or proprietary credentials
• (c) Use bots or automated scripts to generate fraudulent translation requests
• (d) Resell, sublicense, or share your account access with any third party
• (e) Circumvent or disable any technical protection, usage limit, or security measure
• (f) Use the application in violation of any applicable law, including laws governing the recording or processing of other people's speech

Intellectual Property

All rights, title, and interest in the application — including its user interface, design, source code, algorithms, branding, and trademarks — remain exclusively with NeuroOrbit AI. These Terms do not grant you any ownership rights in the application or its intellectual property.

Service Changes & Limits

NeuroOrbit AI reserves the right to modify features, usage limits, pricing, or these Terms with at least 14 days' advance notice delivered by email or in-app notification. Price changes to existing subscriptions are handled according to App Store and Google Play rules, which may require your consent.

The service may be temporarily suspended for scheduled or emergency maintenance and will be restored as promptly as reasonably practicable.

Account Termination

NeuroOrbit AI may suspend or terminate your access upon material breach of these Terms. You may delete your account at any time through the Settings screen. Deletion results in permanent removal of your account and associated usage data. Subscription cancellation is managed through your Apple or Google account settings.

Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

To the fullest extent permitted by applicable law, NeuroOrbit AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the application.

Indemnification

You agree to indemnify, defend, and hold harmless NeuroOrbit AI and its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the application in violation of these Terms, (b) your violation of any applicable law or regulation, or (c) your infringement of any third-party rights.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles.

Users in the EU/EEA retain the right to bring claims before the courts of their Member State of habitual residence pursuant to Regulation (EU) No 1215/2012. Nothing in these Terms limits mandatory consumer-protection rights available to you in your country of residence.

Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

These Terms of Use, together with the Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and NeuroOrbit AI with respect to Quiet Translator.
